REGULAMIN KORZYSTANIA z SYSTEMU „ESPERANZA B2B SYSTEM”.

 

§ 1. POSTANOWIENIA OGÓLNE

  1. Niniejszy „Regulamin Korzystania z Systemu „ESPERANZA B2B SYSTEM” (zwany dalej Regulaminem) określa zasady korzystania z systemu informatycznego ESPERANZA SP. J. POTEREK pod nazwą „ESPERANZA B2B SYSTEM” udostępnianego pod adresem domenowym https://b2b.esperanza.pl, umożliwiającego dostęp do informacji, oraz zawieranie umów drogą elektroniczną i ich realizację, zgodnie z postanowieniami Regulaminu.
  2. ESPERANZA B2B SYSTEM jest udostępniany przez ESPERANZA SP. J. POTEREK z siedzibą w Ożarowie Mazowieckim, przy ul. Poznańskiej 129/133, 05-850 Ożarów Mazowiecki (zwaną dalej ESPERANZA SP. J. POTEREK)

§ 2. DEFINICJE

  1. „Użytkownik” – osoba, której udzielony został dostęp do systemu elektronicznego ESPERANZA B2B SYSTEM, a która dokonując autoryzacji poprzez udzielenie prawidłowego Loginu i Hasła uzyskuje możliwość, o której mowa w § 3 ust. 1.
  2.  „Kontrahent” – oznacza przedsiębiorcę w rozumieniu przepisów ustawy z dnia 23 kwietnia 1964 r. - Kodeks cywilny, Stronę umowy zawartej pomiędzy nim, a ESPERANZA SP. J. POTEREK.

 

§ 3. RODZAJE i ZAKRES CZYNNOŚCI REALIZOWANYCH w RAMACH „ESPERANZA B2B SYSTEM”

  1. Na warunkach określonych w Regulaminie, Użytkownik uzyskuje możliwość:
    1. dokonywania zakupów Towarów i zlecania Usług oferowanych przez ESPERANZA SP. J. POTEREK, w szczególności określonych w Regulaminie na podstawie zamówienia Użytkownika składanego w ESPERANZA B2B SYSTEM, a także umów i porozumień związanych z zakupem Towarów i zlecaniem Usług.
    2. pozyskiwania oraz wymiany informacji dotyczących Towarów złożonych przez Użytkownika w Dziale Reklamacji oraz Dziale Serwisu ESPERANZA SP. J. POTEREK,
    3. pozyskiwania informacji dotyczących przewozu Towarów nabytych przez Kontrahenta u ESPERANZA SP. J. POTEREK, w tym zasad naliczania opłat za Usługi transportowe.
    4. pozyskiwania oraz wymiany informacji finansowo-księgowych dotyczących płatności oraz rozliczeń Stron, dokumentów sprzedaży oraz kojarzenia płatności,
    5. korzystania za pomocą systemu teleinformatycznego z określonych danych z ESPERANZA B2B SYSTEM, np. cen, załączników oraz pozostałych treści udostępnianych elektronicznie przez ESPERANZA SP. J. POTEREK,
    6. dodania swojego adresu e-mail do wybranych przez siebie list mailingowych w celu otrzymywania od ESPERANZA SP. J. POTEREK informacji handlowej drogą elektroniczną,
    7. pozyskiwania informacji dotyczących warunków korzystania z faktur elektronicznych („e-faktura”) oraz korzystania z tej formy fakturowania
    8. wskazywania osób upoważnionych do dokonywania w imieniu i/lub na jego rzecz oraz odpowiedzialność Kontrahenta z ESPERANZA B2B SYSTEM określonych czynności związanych z realizacją współpracy handlowej Stron (np. tworzenie subkont, nadawania im określonych uprawnień),
  2. Czynności dokonywane za pośrednictwem ESPERANZA B2B SYSTEM realizowane są drogą elektroniczną o ile Regulamin nie stanowi inaczej.
  3. ESPERANZA SP. J. POTEREK zastrzega sobie prawo do dokonywania zmian zakresu udzielanych informacji, czynności i Usług realizowanych w ramach ESPERANZA B2B SYSTEM

 

§ 4. WARUNKI KORZYSTANIA z ESPERANZA B2B SYSTEM

  1. Korzystanie z ESPERANZA B2B SYSTEM uzależnione jest od:
    1. spełnienie przez Użytkownika wymagań rejestracji w ESPERANZA B2B SYSTEM i jej pozytywnego zakończenia,
    2. zaakceptowania Regulaminu
  2. Uzyskanie przez Użytkownika z jakichkolwiek informacji, realizacja jakichkolwiek czynności lub zamówienie Towarów lub Usług dostępnych za pośrednictwem ESPERANZA B2B SYSTEM możliwe jest po wprowadzeniu  przez Użytkownika parametrów autoryzacji tj. Loginu i klucza elektronicznego, przyznanych przez ESPERANZA SP. J. POTEREK i wprowadzanych przez Użytkownika na stronie internetowej ESPERANZA B2B SYSTEM przed dokonaniem danej czynności.
  3. W razie spełnienia warunków korzystania z ESPERANZA B2B SYSTEM, ESPERANZA SP. J. POTEREK udostępnia pojedynczy dostęp do ESPERANZA B2B SYSTEM aktywowany z użyciem Loginu i Hasła. Z poziomu tego Konta, Użytkownik może samodzielnie tworzyć inne Konta dla wskazanych przez Użytkownika osób, decydować o uprawnieniach im nadanych.
  4. Login, klucz elektroniczny i Hasło stanowią wyłączne parametry autoryzacji dostępu do ESPERANZA B2B SYSTEM. W związku z tym Użytkownik powinien zabezpieczyć te dane przed dostępem osób nieuprawnionych. Użytkownik nie jest uprawniony do zbywania lub przekazywania innym podmiotom dostępu do Konta Głównego lub Subkont. Użytkownik jest  odpowiedzialny za wszystkie skutki związane z posługiwaniem się Loginem i Hasłem w ramach Konta Głównego i utworzonych przez niego Subkont. W szczególności czynności dokonane z użyciem Loginu i Hasła będą traktowane jako dokonane przez Użytkownika. W przypadku utraty, zagubienia, przejęcia przez osoby nieuprawnione Hasła, Użytkownik zobowiązany jest natychmiast zgłosić tę okoliczność ESPERANZA SP. J. POTEREK. W przypadku wielokrotnego wprowadzenia błędnych danych logowania przez Użytkownika, ESPERANZA SP. J. POTEREK zastrzega sobie prawo do zablokowania dostępu do Konta.

 

§ 5. REJESTRACJA w ESPERANZA B2B SYSTEM

  1. ESPERANZA SP. J. POTEREK zawiera umowy sprzedaży Towarów i świadczenia Usług wyłącznie z przedsiębiorcami prowadzącymi działalność gospodarczą. W związku z tym warunkiem rejestracja Użytkownika w ESPERANZA B2B SYSTEM jest możliwa w przypadku prowadzenia przez Kontrahenta zarejestrowanej działalności gospodarczej.
  2. Kontrahent w celu rejestracji w ESPERANZA B2B SYSTEM obowiązany jest:
    1. wypełnić Formularz rejestracji zamieszczony pod adresem internetowym https://b2b.esperanza.pl/rejestracja
    2. przesłać pod numer faksu +48 22 721 21 61, lub na adres e-mail rejestracjab2b@esperanza.pl, bądź też złożyć je osobiście w ESPERANZA SP. J. POTEREK przy ul. Poznańskiej 129/133 w 05-850 Ożarowie Mazowieckim, aktualne kopie następujących dokumentów Użytkownika:
      • Decyzja o wpisie do rejestru przedsiębiorców KRS, lub Wpis do ewidencji gospodarczej
      • decyzja o nadaniu numeru NIP,
      • decyzja o nadaniu numeru REGON,
      • kopię dokumentu z widocznym numerem PESEL
  3. ESPERANZA SP. J. POTEREK oświadcza, że dane opisane powyżej służą jedynie do weryfikacji poprawności danych rejestrowych w formularzu i weryfikacji uprawnienia do reprezentacji, osoby rejestrującej się w ESPERANZA B2B SYSTEM jako użytkownik, w imieniu Kontrahenta.
  4. Przy pierwszym logowaniu Użytkownik będzie proszony o wygenerowanie indywidualnego klucza, a następnie o  akceptację regulaminu. Fakt akceptacji Regulaminu jest odnotowywany i zapisywany przez ESPERANZA SP. J. POTEREK. Brak akceptacji uniemożliwia korzystanie z ESPERANZA B2B SYSTEM.
  5. W przypadku:
    1. przesłania Formularza rejestracji bez podania wszystkich wskazanych w nim informacji,
    2. przesłania Formularza rejestracji bez dokumentów wskazanych w pkt 2b),
    3. stwierdzenia niezgodności danych zamieszczonych w Formularzu rejestracji z dokumentami rejestrowymi, rejestracja w ESPERANZA B2B SYSTEM nie zostanie dokonana.
  6. W uzasadnionych przypadkach ESPERANZA SP. J. POTEREK może zażądać dodatkowych informacji lub do­kumentów w celu rejestracji.
  7. Użytkownik obowiązany jest do informowania ESPERANZA SP. J. POTEREK o wszelkich zmianach danych podanych w trakcie rejestracji w ESPERANZA B2B SYSTEM, oraz przedkładania na wniosek ESPERANZA SP. J. POTEREK dokumentów potwierdzających takie zmiany.
  8. W przypadku pozytywnego zakończenia procesu rejestracji ESPERANZA SP. J. POTEREK prześle na Email należący do Kontrahenta potwierdzenie rejestracji.
  9. Podmioty zarejestrowane w systemie informatycznym ESPERANZA SP. J. POTEREK jako Kontrahenci, którzy chcą korzystać z ESPERANZA B2B SYSTEM obowiązani są jedynie do wypełnienia Formularza rejestracji.
  10. Z  chwilą potwierdzenia rejestracji, zostaje zawarta pomiędzy ESPERANZA SP. J. POTEREK i Kontrahentem umowa współpracy na warunkach określonych w Regulaminie.

 

 

§ 6. WARUNKI DOKONYWANIA CZYNNOŚCI w ESPERANZA B2B SYSTEM,

  1. Za zamówienia złożone przez Użytkownika odpowiedzialność ponosi Kontrahent, na którego zlecenie Użytkownik uzyskał dostęp do systemu ESPERANZA B2B SYSTEM.
  2. Zamówienie złożone przez ESPERANZA B2B SYSTEM jest traktowane jak zamówienie pisemne.
  3. Ceny Towarów i Usług określane są w ESPERANZA B2B SYSTEM, każdorazowo przy zawieraniu danej transakcji. Ceny są podane w wartości netto, tj. bez należnego podatku VAT, o który zostaną powiększone. Ilość paczek lub palet podana przy zatwierdzaniu zamówienia jest szacunkowa. Podczas procesu pakowania towaru w magazynie Esperanza określana jest finalna ilość paczek lub palet w które zamówienie zostaje zapakowane. Taka finalna ilość paczek lub palet będzie uwidoczniona na fakturze na co Użytkownik wyraża zgodę akceptując niniejszy regulamin i zatwierdzając zamóienia w ESPERANZA B2B SYSTEM. Fakt zmieny ilości jednostek transportowych w procesie pakowania zamówienia (ilości paczek lub palet) wynika z gabarytów towarów, które przekraczają normy przyjęte dla danej jednostki transportowej, jak również zbyt duży gabaryt może powodować uszkodzenie towaru w  przesyłce. Powoduje to koniecznosć rozdzielenie towaru na większą ilość paczek lub palet niż oszacował ESPERANZA B2B SYSTEM.
  4. Kontrahent wyraża zgodę na przesyłanie mu przez ESPERANZA SP. J. POTEREK informacji handlowych za pośrednictwem środków komunikacji elektronicznej, tj. na Email, na zasadach określonych w ustawie o świadczeniu usług drogą elektroniczną.
  5. Kontrahent może w każdym czasie cofnąć zgodę, z zachowaniem formy pisemnej lub elektronicznie.

 

§ 7. WARUNKI i FORMY PŁATNOŚCI

  1. Z zastrzeżeniem postanowień ust. 2 poniżej, płatność za Towary lub Usługi następuje przy odbiorze Towaru lub przy zlecaniu Usługi. 
  2. ESPERANZA SP. J. POTEREK może udzielić Kontrahentowi na jego wniosek odnawialnego kredytu kupieckiego w wysokości i terminie odroczonych płatności ustalonych przez ESPERANZA SP. J. POTEREK. Kwota i termin spłaty kredytu kupieckiego (dalej zwana: Limitem Kredytowym) stanowić będą maksymalną wartość zadłużenia Kontrahenta wobec ESPERANZA SP. J. POTEREK oraz maksymalny termin spłaty tego zadłużenia (liczony od daty wystawienia faktury VAT) z tytułu dokonywania przez Kontrahenta zakupów Towarów i/lub Usług z odroczonym terminem płatności.

 

§ 8. POSTANOWIENIA DODATKOWE

  1. Jakiekolwiek prawa wynikające z niniejszej Umowy (w tym w szczególności wierzytelności pieniężne względem ESPERANZA SP. J. POTEREK) nie mogą być przez Kontrahenta:
    1. przenoszone na jakąkolwiek osobę trzecią,
    2. potrącane przez Kontrahenta z wierzytelnościami ESPERANZA SP. J. POTEREK względem Kontrahenta bez uprzedniej zgody ESPERANZA SP. J. POTEREK wyrażonej w formie pisemnej pod rygorem nieważności.
  2. Regulamin podlega prawu polskiemu.
  3. Wszelkie spory mogące wyniknąć między stronami na tle obowiązywania Regulaminu oraz realizacji czynności dokonywanych na jego podstawie rozpoznawane będą przez sądy powszechne właściwe dla siedziby ESPERANZA SP. J. POTEREK.
  4. W przypadku, gdy którekolwiek z postanowień niniejszego Regulaminu, z mocy prawa lub ostatecznego albo prawomocnego orzeczenia jakiegokolwiek organu administracyjnego lub sadu, zostało uznane za nieważne lub nieskuteczne, pozostałe postanowienia niniejszego Regulaminu  zachowują pełną moc i skuteczność.
  5. ESPERANZA SP. J. POTEREK zastrzega sobie prawo do zmiany niniejszego regulaminu, o zmianach w regulaminie użytkownik zostanie powiadomiony po zalogowaniu się do serwisu.

 

 

REGULATIONS - USING OF THE "ESPERANZA B2B SYSTEM"

 

§ 1. GENERAL PROVISIONS

  1. These ‘Regulations - using of the "ESPERANZA B2B SYSTEM’ (hereinafter referred to as the ‘Regulations’) defines the rules of using the information system ESPERANZA SP. J. POTEREK under the name "ESPERANZA B2B SYSTEM" available at the domain address https://b2b.esperanza.pl, enabling access to information, as well as concluding contracts by electronic means and their implementation, in accordance with the provisions of the Regulations.
  2. ESPERANZA B2B SYSTEM is made available by ESPERANZA SP. J. POTEREK with its registered office in Ożarów Mazowiecki, at 129/133 Poznańska Street, 05-850 Ożarów Mazowiecki, POLAND (hereinafter referred to as ‘ESPERANZA SP. J. POTEREK’).

§ 2. DEFINITIONS

  1. "User" - a person to whom access to the electronic system ESPERANZA B2B SYSTEM has been granted, and who, by authorizing by granting a valid Login and Password, acquires the possibility referred to in § 3 section 1.
  2.  "Contractor" - means an entrepreneur within the meaning of the provisions of the Act of 23 April 1964. - Civil Code, a Party to the agreement concluded between him and ESPERANZA SP. J. POTEREK.

 

§ 3 TYPEES AND SCOPE OF ACTIVITIES REALISED UNDER THE "ESPERANZA B2B SYSTEM".

  1. Under the conditions specified in the Regulations, the User is given the possibility to:
  1.  purchase the Goods and order the Services offered by ESPERANZA SP.J. POTEREK in particular those specified in the Regulations on the basis of the User's order placed with ESPERANZA B2B SYSTEM, as well as contracts and agreements related to the purchase of Goods and ordering Services,
  2. obtaining and exchanging information concerning the Goods submitted by the User in the Complaints Department and Service Department ESPERANZA SP. J. POTEREK,
  3. obtain information concerning the transport of Goods purchased by the Contractor from ESPERANZA SP. J. POTEREK, including the rules of charging for Transport Services,
  4. obtaining and exchanging financial and accounting information concerning payments and settlements of the Parties, sales documents and matching payments,
  5. the use of certain data from the ESPERANZA B2B SYSTEM by means of an ICT system, e.g. prices, attachments and other content made available electronically by ESPERANZA SP. J. POTEREK,
  6. add your e-mail address to the mailing lists of your choice in order to receive from ESPERANZA SP. J. POTEREK of commercial information by electronic means,
  7. obtain information on the conditions of use of electronic invoices ("e-invoice") and the use of this form of invoicing,
  8. indication of persons authorised to carry out on behalf and/or on his behalf and the responsibility of the Contractor with ESPERANZA B2B SYSTEM certain activities related to the implementation of the Parties' commercial cooperation (e.g. creation of subaccounts, granting them specific rights),
  1. Activities carried out via ESPERANZA B2B SYSTEM are carried out electronically, unless the Regulations provide otherwise.
  2. ESPERANCE SP. J. POTEREK reserves the right to make changes to the scope of information, activities and services provided under the ESPERANZA B2B SYSTEM.

 

§ 4. CONDITIONS OF USE OF THE ESPERANZA B2B SYSTEM

  1. The use of the B2B SYSTEM ESPERANCE depends on:
  1. meeting by the User the requirements of registration in the ESPERANZA B2B SYSTEM and its positive completion,
  2. accept the Regulations.
  1. Obtaining by the User from any information, carrying out any activities or ordering Goods or Services available through ESPERANZA B2B SYSTEM is possible after the User has entered the authorization parameters, i.e. login and electronic key, granted by ESPERANZA SP. J. POTEREK and entered by the User on the website of ESPERANZA B2B SYSTEM before performing a given activity.
  2. If the conditions for the use of the ESPERANZA B2B SYSTEM are met, ESPERANZA SP. J. POTEREK provides a single access to ESPERANZA B2B SYSTEM activated with the use of the Login and Password. From the level of this Account, the User may independently create other Accounts for persons indicated by the User and decide about the rights granted to them.
  3. Login, electronic key and password are the exclusive parameters for authorising access to the ESPERANCE B2B SYSTEM. Therefore, the User should protect these data against unauthorized access. The User is not entitled to sell or transfer to other entities access to the Main Account or Sub-Accounts. The User is responsible for all consequences related to the use of the Login and Password within the Main Account and the Sub Accounts created by him. In particular, activities performed with the use of the Login and Password shall be treated as performed by the User. In the event of loss or unauthorized takeover of Passwords, the User is obliged to immediately report this circumstance to ESPERANZA SP. J. POTEREK. In the case of multiple entries of incorrect login data by the User, ESPERANZA SP. J. POTEREK reserves the right to block access to the Account.

 

§ 5 REGISTRATION IN ESPERANZA B2B SYSTEM

  1. ESPERANZA SP. J. POTEREK concludes agreements for the sale of Goods and provision of Services exclusively with entrepreneurs conducting business activity. Therefore, registration of the User in ESPERANZA B2B SYSTEM is possible if the Contractor conducts a registered business activity.
  2. The Counterparty shall be obliged to register in the ESPERANZA B2B SYSTEM:
  1. fill in the Registration Form available at the Internet address https://b2b.esperanza.pl/rejestracja
  2. send to e-mail address: rejestracjab2b@esperanza.pl current copies of the following User documents:In order to complete the registration process it is necessary to send us current copies of the following User documents and send it to the e-mail address: rejestracjab2b@esperanza.pl:

           - decision on entry in the Register of Entrepreneurs of the National Court Register or Entry in the Business Register (could differ in every country)

           - decision to assign a VAT number (if applicable),

           - a copy of the document with a visible personal number(s) of the person(s) in charge.

           3. ESPERANCE SP. J. POTEREK declares that the data described above are used only to verify the correctness of the registration data in the form and to verify the right to represent the person registering in ESPERANZA B2B SYSTEM as a user on behalf of the Contractor.

           4. At the first logging in, the User will be asked to generate an individual key and then to accept the Regulations. The fact of accepting the Regulations is recorded and saved by ESPERANZA SP. J. POTEREK. Lack of acceptance makes it impossible to use the ESPERANZA B2B SYSTEM.

           5. In case of:

           a. sending the Registration Form without providing all the information indicated therein,

           b. sending the Registration Form without the documents indicated in point 2b),

           c. the data included in the Registration Form are inconsistent with the registration documents, registration in the ESPERANZA B2B SYSTEM will not be made.

           6. In justified cases, ESPERANZA SP. J. POTEREK may request additional information or documents for the purpose of registration.

           7. The user is obliged to inform ESPERANZA SP. J. POTEREK of any changes in the data provided during the registration in the ESPERANZA B2B SYSTEM, and the submission at the request of ESPERANZA SP. J. POTEREK of documents confirming such changes.

           8. If the registration process is conducted in a proper way ESPERANZA SP. J. POTEREK will send a registration confirmation to the e-mail belonging to the Contractor.

           9. Entities registered in the ESPERANZA SP. J. POTEREK as Counterparties who want to use ESPERANZA B2B SYSTEM are only obliged to fill in the Registration Form.

           10. Upon confirmation of registration, it is concluded between ESPERANZA SP. J. POTEREK and a Contractor - a cooperation agreement under the conditions specified in the Regulations.

 

§ 6. CONDITIONS FOR CONNECTION OF OPERATIONALITY in ESPERANZA B2B SYSTEM

  1. Orders placed by the User shall be the responsibility of the Contractor on whose order the User obtained access to the ESPERANZA B2B SYSTEM.
  2. An order placed by ESPERANZA B2B SYSTEM shall be treated as a written order.
  3. Prices of Goods and Services are determined in the ESPERANCE B2B SYSTEM, each time a given transaction is concluded. Prices are given in net value, i.e. excluding VAT.
  4. The Contractor agrees that ESPERANZA SP. J. POTEREK sending commercial information by means of electronic communication, i.e. by e-mail, in accordance with the rules specified in the Act on the provision of services by electronic means.
  5. The Contractor may withdraw its consent at any time, in writing or electronically.

 

§ 7. TERMS AND CONDITIONS AND FORMS OF PAYMENT

  1. Subject to the provisions of section 2 below, payment for Goods or Services shall be made upon receipt of the Goods or upon ordering a Service.
  2. ESPERANCE SP. J. POTEREK may grant the Contractor, at its request, a revolving trade credit in the amount and date of deferred payments determined by ESPERANZA SP. J. POTEREK. The amount and repayment date of the trade credit (hereinafter referred to as: Credit Limit) shall constitute the maximum value of the Contractor debt towards ESPERANZA SP. J. POTEREK and the maximum term of repayment of this debt (counted from the date of issuing an invoice) due to the Contractor's purchases of Goods and/or Services with a deferred payment term.

 

§ 8. ADDITIONAL PROVISIONS

  1. Any rights resulting from this Agreement (including in particular monetary claims against ESPERANZA SP. J. POTEREK) may not be by the Contractor:
  1. transferred to any third party,
  2. deducted by the Contractor from the receivables of ESPERANZA SP. J. POTEREK against the Contractor without the prior consent of ESPERANZA SP. J. POTEREK expressed in writing under pain of nullity.
  1. The Regulations are governed by Polish law.
  2. Any disputes that may arise between the parties as a result of the validity of the Regulations and the performance of activities carried out on its basis will be recognized by common courts competent for the registered office of ESPERANZA SP. J. POTEREK.
  3. In the event that any provision of these Regulations, by virtue of law or a final, or final decision of any administrative body or court, has been declared invalid or ineffective, the remaining provisions of these Regulations shall remain in full force and effect.
  4. ESPERANZA SP. J. POTEREK reserves the right to change these regulations, the user will be notified about changes in the regulations after logging in to the service.
